The terms governing your use of the tts.cx platform
These Terms of Service ("Terms") constitute a legally binding agreement between you (whether an individual or an entity, "you," "your," or "Tenant") and Tyga.Cloud Ltd (Company No: 14643275), trading as tts.cx ("we," "us," "our," or "tts.cx"), governing your access to and use of the tts.cx website, text-to-speech platform, APIs, and related services (collectively, the "Services").
By accessing or using the Services, creating an account, or generating an API key, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree to these Terms, you must not access or use the Services. If you are entering into these Terms on behalf of an organisation, you represent that you have the authority to bind that organisation.
You must be at least 18 years of age and capable of forming a binding contract to use the Services. By using the Services, you represent and warrant that you meet these requirements.
To access certain features, you must register for an account. You agree to provide accurate, current, and complete information during registration and to keep it up to date. You are responsible for maintaining the confidentiality of your account credentials and API keys, and for all activity that occurs under your account. You must notify us promptly at support@tts.cx of any unauthorised use of your account.
tts.cx provides a text-to-speech platform that converts text supplied by you into synthesised audio through an API and associated tools. The Services include a selection of ready-made voices, the ability to create custom signature voices, a usage dashboard, and API access secured by API keys.
We may add, modify, or remove features, voices, or functionality from time to time. We will use reasonable efforts to provide notice of material changes that adversely affect your use of the Services.
API keys authenticate requests to the Services and are issued to your account. You are responsible for securing your API keys and must not share them publicly or embed them in client-side code where they may be exposed. You may rotate or revoke your API keys at any time through your dashboard.
Your use of the Services is subject to the rate limits, usage quotas, and character allowances associated with your subscription plan. We may enforce these limits, and we may throttle, suspend, or block requests that exceed them or that we reasonably believe to be abusive, fraudulent, or harmful to the Services or other users.
You agree not to use the Services to, and not to permit any Agent or end user to:
We reserve the right, but assume no obligation, to monitor use of the Services and to investigate and take appropriate action against any use that we reasonably believe violates these Terms.
The voices available through the Services, including ready-made and custom signature voices, are synthetic. You must not use the Services to generate speech that imitates or clones the voice or likeness of a real, identifiable person without that person's explicit, informed consent, or where doing so would be unlawful or misleading.
You are solely responsible for obtaining any consents, licences, and permissions necessary for the text you submit and the audio you generate, and for the manner in which you use, distribute, or publish that audio. You must not represent synthesised audio as a genuine recording of a real person in a way that is deceptive.
"Customer Content" means the text you submit to the Services for synthesis. As between you and tts.cx, you retain all rights in your Customer Content. You grant us a limited, worldwide, non-exclusive licence to process, transmit, and transiently store your Customer Content solely to provide, secure, and maintain the Services.
As between you and tts.cx, and subject to your compliance with these Terms and payment of applicable fees, you own the specific audio output generated from your Customer Content and may use it for your lawful purposes. We do not claim ownership of that output. We retain all rights in the Services themselves, including the underlying models, voices, software, and infrastructure.
You represent and warrant that you have all necessary rights to submit your Customer Content and that your Customer Content and your use of the resulting audio do not and will not violate these Terms or any applicable law or third-party right.
Certain plans are offered free of charge or with a free trial; others are paid subscriptions billed in advance on a recurring basis. By selecting a paid plan, you authorise us and our payment processor, Stripe, to charge the payment method on file for the applicable fees, including recurring charges, until you cancel.
Fees are exclusive of taxes unless stated otherwise, and you are responsible for any applicable taxes. Except where required by law, fees are non-refundable. We may change our fees on reasonable prior notice; changes take effect at the start of your next billing cycle. If a free trial is offered, we may require a payment method and will begin charging at the end of the trial unless you cancel beforehand.
You may cancel your subscription at any time through your dashboard or by contacting support@tts.cx. Cancellation takes effect at the end of the current billing period, and you will retain access until then.
We strive to keep the Services available and performant, but we do not guarantee that the Services will be uninterrupted, error-free, or free from delays. We may perform scheduled or emergency maintenance, and we may modify or discontinue parts of the Services. Any specific service-level commitments, where offered, will be set out in a separate written agreement.
The Services, including all software, models, voices, text, graphics, logos, and the tts.cx and Tyga.Cloud names and marks, are owned by or licensed to Tyga.Cloud Ltd and are protected by intellectual property laws. Except for the limited rights expressly granted to you in these Terms, no rights are granted to you in the Services. You must not remove, obscure, or alter any proprietary notices.
You may stop using the Services and close your account at any time. We may suspend or terminate your access to the Services, in whole or in part, immediately and without liability if we reasonably believe that you have violated these Terms, that your use poses a security, legal, or reputational risk, or that suspension is required to comply with law.
Upon termination, your right to use the Services ceases, and we may delete your account data in accordance with our Privacy Policy and applicable law. Provisions that by their nature should survive termination (including ownership, disclaimers, limitations of liability, and indemnification) will survive.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL MEET YOUR REQUIREMENTS, THAT SYNTHESISED OUTPUT WILL BE ACCURATE OR SUITABLE FOR ANY PARTICULAR USE, OR THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE. NOTHING IN THESE TERMS EXCLUDES OR LIMITS ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL TYGA.CLOUD LTD OR ITS AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US FOR THE SERVICES IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR (B) ONE HUNDRED POUNDS STERLING (£100). NOTHING IN THESE TERMS LIMITS LIABILITY FOR DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE, FRAUD, OR ANY OTHER LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.
You agree to indemnify, defend, and hold harmless Tyga.Cloud Ltd and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your Customer Content, your use of the Services, your violation of these Terms, or your violation of any applicable law or third-party right.
These Terms are governed by and construed in accordance with the laws of England and Wales, without regard to conflict-of-law principles. You agree that the courts of England and Wales will have exclusive jurisdiction to resolve any dispute arising out of or in connection with these Terms or the Services, subject to any mandatory consumer protection rights available to you in your country of residence.
We may update these Terms from time to time. When we make material changes, we will revise the "Effective Date" above and provide reasonable notice, such as a notice on our Website or an email to registered Tenants. Your continued use of the Services after the changes take effect constitutes your acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Services.
